Terms of Service

Please read these terms carefully. By using Haven, you agree to these Terms of Service. If you don't agree, please don't use our service.
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and CM & Co Solutions Ltd. ("Haven", "we", "us", or "our") regarding your use of the Haven mobile application and related services (collectively, the "Service").
By downloading, installing, or using Haven, you agree to be bound by these Terms. If you are using Haven on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Haven is a personal safety platform that provides:
- SOS Alerts: Emergency alert system that notifies your designated guardians
- Location Sharing: Real-time location sharing with trusted contacts
- Journey Mode: Automatic safety monitoring during travel
- Mesh Network: Bluetooth-based alert relay for areas with poor connectivity
- Community Safety: Crowdsourced safety information and threat alerts
Important: Haven is designed to enhance your safety, but it is NOT a replacement for emergency services. In life-threatening situations, always contact emergency services (Police: 112, 199) directly when possible.
3. Eligibility
To use Haven, you must:
- Be at least 13 years old (users under 18 need parental consent)
- Be a resident of Nigeria or have a Nigerian phone number
- Have a compatible smartphone with GPS capability
- Provide accurate registration information
4. Account Registration
4.1 Account Creation
You must register for an account to use Haven. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your account credentials secure
- Notify us immediately of any unauthorized access
4.2 Guardian Designation
You may designate trusted contacts ("Guardians") to receive alerts. You are responsible for:
- Obtaining consent from individuals before adding them as Guardians
- Ensuring Guardian contact information is accurate
- Informing Guardians about their role and responsibilities
5. Acceptable Use
5.1 You Agree NOT to:
- Use Haven to make false emergency reports or prank alerts
- Harass, stalk, or threaten others using Haven
- Attempt to access other users' accounts or data
- Reverse engineer, decompile, or modify the app
- Use automated systems to access the Service
- Circumvent security features or access controls
- Use Haven for any illegal purpose
- Impersonate others or provide false information
5.2 False Alerts
Deliberately triggering false SOS alerts is a serious violation. Repeated false alerts may result in:
- Account suspension or termination
- Reporting to law enforcement authorities
- Liability for any damages caused
6. Permissions and Data
6.1 Required Permissions
Haven requires certain device permissions to function:
- Location: To share your location during emergencies
- Bluetooth: For mesh network functionality
- Microphone: For audio recording during SOS events
- Notifications: To receive safety alerts
- Background Activity: For Journey Mode and background SOS
6.2 Data Usage
Your use of Haven is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.
7. Subscription and Payments
7.1 Free and Premium Services
Haven offers both free and premium subscription tiers. Premium features may include:
- Extended location history
- Additional Guardian slots
- Priority emergency response coordination
- Advanced safety analytics
7.2 Payment Terms
- Subscriptions are billed in advance on a monthly or annual basis
- Prices are in Nigerian Naira (NGN) unless otherwise stated
- Subscriptions auto-renew unless cancelled before the renewal date
- Refunds are provided in accordance with applicable Nigerian consumer protection laws
8. Intellectual Property
Haven and its content, features, and functionality are owned by CM & Co Solutions Ltd. and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, or distribute Haven's software or content
- Use Haven's trademarks without written permission
- Remove any copyright or proprietary notices
9. Third-Party Services
Haven may integrate with third-party services (e.g., maps, emergency services). We are not responsible for:
- The availability or accuracy of third-party services
- Third-party terms of service or privacy practices
- Any damages resulting from third-party service failures
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
We do not guarantee that:
- Haven will be available 100% of the time
- SOS alerts will always be successfully delivered
- Location data will always be accurate
- Emergency services will respond to alerts
- The mesh network will function in all areas
Haven is a safety tool, not a guarantee of safety. Network conditions, device limitations, and external factors may affect performance.
11. Limitation of Liability
To the maximum extent permitted by Nigerian law:
- CM & Co Solutions Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
- We are not liable for failures caused by factors beyond our reasonable control
Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by Nigerian law.
12. Indemnification
You agree to indemnify and hold harmless CM & Co Solutions Ltd., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your violation of these Terms
- Your misuse of the Service
- False emergency reports you make
- Your violation of any third-party rights
13. Account Termination
13.1 By You
You may delete your account at any time through the app settings. Upon deletion:
- Your personal data will be deleted within 30 days
- Some anonymized data may be retained for analytics
- Active subscriptions will not be automatically refunded
13.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms
- Make repeated false emergency reports
- Engage in fraudulent activity
- Pose a risk to other users or our systems
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes through:
- In-app notifications
- Email to your registered address
- Updates to the "Last Updated" date
Continued use after changes constitutes acceptance of the new Terms.
15. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Lagos State, Nigeria, unless otherwise required by applicable consumer protection laws.
16. Dispute Resolution
Before initiating legal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@gethaven.ng. We will attempt to resolve the matter within 30 days.
17. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and CM & Co Solutions Ltd. regarding Haven.
